These Terms of Use ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "Customer," "you," or "your") and Verithentic LLC("Verithentic," "Company," "we," "us," or "our"), a limited liability company with its principal place of business at Central One District, C1 Building, Dubai. These Terms govern your access to and use of the Verithentic platform, including all associated software, applications, services, features, content, and documentation (collectively, the "Service" or "Platform").
By accessing or using the Service, creating an account, or clicking "I Agree" or any equivalent action, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are entering into this Agreement on behalf of a business, organization, or other legal entity ("Organization"), you represent and warrant that you have the authority to bind such Organization to these Terms, and "you" and "your" shall refer to such Organization. If you do not agree to these Terms, you must immediately cease all use of the Service.
1. Definitions
"Account" means the unique user account created by or on behalf of the User to access and use the Service, including all associated credentials, settings, and configurations.
"AMI" means the artificial intelligence assistant feature integrated into the Platform, powered by third-party large language model technology, providing conversational assistance, data analysis, reporting, and operational support for automotive shop management.
"Authorized Users"means individual persons who are authorized by the Customer to access and use the Service under the Customer's subscription, including but not limited to employees, contractors, and agents assigned roles within the Platform.
"Company Workspace" or "Tenant"means the isolated organizational unit within the Platform associated with a Customer's subscription, containing all business data, configurations, and user accounts specific to that Customer.
"Customer Data"means all data, information, and content that is uploaded, submitted, stored, or processed within the Service by or on behalf of the Customer, including but not limited to customer records, vehicle information, work orders, inspections, financial records, employee data, and any other information associated with the Customer's Company Workspace.
"Digital Vehicle Inspection" or "DVI" means the integrated vehicle inspection feature that enables the documentation of vehicle condition through categorical assessments, measurements, photographs, and technician observations.
"Feature Flags" means configurable toggles that enable or disable specific modules or capabilities within the Platform for a given Company Workspace.
"Metered Usage" means usage of the Service that is measured and billed based on consumption beyond the included allocations of a subscription plan, including but not limited to additional user seats, storage consumption, and AMI usage.
"Personal Data" has the meaning ascribed to it in the Privacy Policy and generally refers to any information relating to an identified or identifiable natural person.
"Service" has the meaning set forth in the preamble of these Terms.
"Third-Party Services" means any services, platforms, APIs, or software provided by entities other than Verithentic that may be integrated with or accessible through the Platform.
2. Eligibility and Account Registration
2.1 Eligibility. You must be at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement to use the Service. If you are accessing the Service on behalf of an Organization, you represent and warrant that (a) you are authorized to bind the Organization to these Terms; (b) the Organization is duly organized, validly existing, and in good standing under applicable law; and (c) the Organization agrees to be bound by these Terms.
2.2 Account Creation. To access the Service, you must create an Account by providing accurate, current, and complete information during the registration process, including but not limited to your name, email address, and password. You agree to promptly update your Account information to maintain its accuracy and completeness.
2.3 Email Verification. You must verify your email address before gaining full access to the Service. Unverified accounts may be subject to restricted functionality or suspension.
2.4 Organization Setup. Upon account registration, you may create or be invited to join a Company Workspace. Each Company Workspace requires the provision of business information, including but not limited to company name, legal name, address, phone number, business license number, employer identification number (EIN), and tax rate information.
2.5 Multi-Tenant Isolation. Each Company Workspace operates as an isolated tenant within the Platform. Data within a Company Workspace is accessible only to Authorized Users of that specific Company Workspace, subject to the role-based access control mechanisms described in Section 9.
2.6 Account Accuracy. You are solely responsible for the accuracy, quality, and legality of all information provided during registration and throughout your use of the Service. Verithentic shall not be liable for any consequences arising from inaccurate, incomplete, or misleading Account information.
3. Description of the Service
3.1 Overview. Verithentic is a cloud-based, multi-tenant software-as-a-service (SaaS) platform designed for automotive repair shop management. The Platform provides tools for managing day-to-day shop operations, customer relationships, vehicle service records, appointments, inspections, billing, inventory, and employee workflows.
3.2 Core Features. Subject to the applicable subscription plan and Feature Flags, the Service may include the following capabilities:
- Customer Relationship Management (CRM): Maintain customer records including contact information, service history, vehicle associations, customer tags and classifications, and communication preferences.
- Vehicle Management: Record and track vehicle information including Vehicle Identification Numbers (VINs), license plates, year, make, model, trim, color, and mileage data.
- Repair Order and Work Order Management: Create, assign, track, and manage work orders through their full lifecycle, including status tracking, technician and advisor assignments, service line items, parts usage, labor tracking, and authorization workflows.
- Appointment Scheduling: Schedule, confirm, and manage customer appointments with bay assignment, technician allocation, availability checking, confirmation workflows, and automated notifications.
- Public Booking Page: A customer-facing online appointment booking interface enabling customers to view available services, select time slots, and request appointments.
- Digital Vehicle Inspections (DVI): Conduct and document multi-point vehicle inspections with categorical assessment, priority classification, specialized measurements, photo attachments, and timeline recommendations.
- Estimates and Invoicing: Generate service estimates with approval workflows, create and manage invoices, track payment statuses, and integrate with payment processing systems.
- Parts and Inventory Management: Manage parts inventory including stock levels, pricing, cost tracking, minimum quantity thresholds, vendor associations, reservations, and direct parts sales.
- Bay Management: Configure and manage service bays with status tracking, technician assignments, service category associations, and real-time availability monitoring.
- Employee Management: Manage staff records including roles, job titles, employment types, certifications, time-off requests, absences, workload tracking, and scheduling.
- Review Management: Collect, manage, and analyze customer reviews with configurable workflows, automated review request emails, rating categories, anonymization options, and consent management.
- AMI (AI Assistant): An artificial intelligence-powered conversational assistant for operational support, data analysis, reporting, and shop management assistance.
- Reporting and Analytics: Generate reports on revenue, customer metrics, inventory status, technician productivity, and other operational data points, with export capabilities (CSV, PDF).
- Role-Based Access Control (RBAC): Granular permission management with predefined and customizable roles governing access to Platform features and data.
3.3 Feature Availability. Not all features described in Section 3.2 are available under every subscription plan. Feature availability may vary based on your subscription tier, Feature Flags enabled for your Company Workspace, and the current state of Platform development. Verithentic reserves the right to modify, add, or remove features at any time, with or without prior notice.
3.4 Service Modifications. Verithentic continuously develops and improves the Platform. We reserve the right to modify any aspect of the Service, including its functionality, user interface, APIs, integrations, and available features. Where material changes affect your use of the Service, we will endeavor to provide reasonable notice.
4. Subscription Plans, Billing, and Payments
4.1 Subscription Plans. The Service is offered under tiered subscription plans:
- Plus Plan: Includes a base allocation of user seats and storage, with access to core Platform features. As of the effective date, priced at $79.00 USD per month with five (5) user seats and twenty-five (25) gigabytes of storage.
- Pro Plan: Includes an expanded allocation of user seats and storage, with access to all Platform features including advanced capabilities such as AMI Deep Mode. As of the effective date, priced at $179.00 USD per month with fifteen (15) user seats and one hundred (100) gigabytes of storage.
Verithentic reserves the right to modify subscription plan pricing, included allocations, and available features at any time. Changes to pricing will apply to the next billing cycle following notice of such change.
4.2 Metered Usage. Consumption beyond the allocations included in your subscription plan will be billed as Metered Usage. Metered Usage charges may apply to: (a) additional user seats beyond the included allocation; (b) additional storage beyond the included allocation, billed per gigabyte; (c) usage of the AMI artificial intelligence assistant, metered based on interactions, tool executions, and conversational sessions.
4.3 Billing Cycle. Subscriptions are billed on a monthly recurring basis commencing on the date of initial subscription activation.
4.4 Payment Method. You must provide a valid payment method to activate and maintain your subscription. All payment processing is handled by our third-party payment processor, Stripe, Inc. By providing payment information, you authorize Verithentic and Stripe to charge your designated payment method for all applicable fees.
4.5 Automatic Renewal. Your subscription will automatically renew at the end of each billing cycle unless you cancel prior to the renewal date.
4.6 Proration. If you upgrade your subscription plan mid-cycle, the price difference will be prorated and charged immediately. If you downgrade, the downgrade will take effect at the end of the current billing period, and no refund or credit will be issued for the remaining time on the higher-tier plan.
4.7 Failed Payments.If a payment fails, your subscription status may be changed to "Past Due," and access to the Service may be restricted or suspended until the outstanding balance is resolved.
4.8 Taxes. All fees are exclusive of applicable taxes, levies, duties, and similar governmental assessments. You are responsible for paying all such taxes associated with your use of the Service.
4.9 Refund Policy. All fees paid are non-refundable except as expressly stated in these Terms or as required by applicable law.
5. Free Trial
5.1 Trial Period. Verithentic may offer a free trial period for new Customer accounts. As of the effective date, the trial period is fourteen (14) days from the date of Company Workspace creation.
5.2 Trial Expiration. At the end of the trial period, your subscription will either automatically convert to a paid subscription if a valid payment method is on file, or be suspended if no valid payment method has been provided.
5.3 Trial Limitations. Verithentic reserves the right to determine eligibility for a free trial, modify the trial duration, limit or restrict features during the trial period, and terminate any trial at any time. Free trials are limited to one per Organization.
6. Feature Flags and Optional Modules
6.1 Feature Flags. Certain features of the Platform are gated behind Feature Flags and may be enabled or disabled for individual Company Workspaces. Currently available Feature Flags include:
- VIN Decode: Automatic decoding of Vehicle Identification Numbers to populate vehicle specifications using third-party vehicle data services.
- AMI (AI Assistant): Enabling the AMI conversational AI assistant within the Company Workspace.
- Reviews: Enabling the customer review collection and management module, including automated review request workflows.
- Online Booking:Enabling the public-facing appointment booking page accessible to the Customer's clients.
6.2 Third-Party Dependencies. Certain Feature Flags rely on third-party services. Verithentic does not guarantee the availability, accuracy, or reliability of such third-party services and shall not be liable for any interruptions, errors, or failures attributable to third-party dependencies.
7. AMI Artificial Intelligence Assistant
7.1 Overview. AMI is an artificial intelligence assistant integrated into the Platform that provides conversational support for automotive shop operations. AMI utilizes third-party large language model (LLM) technology to process natural language inputs and generate responses, recommendations, and automated actions based on your Company Workspace data.
7.2 Terms Acceptance. Before first use of AMI within a Company Workspace, each Authorized User must individually accept the AMI-specific terms of use. Acceptance is recorded per user per Company Workspace, including the timestamp, IP address, and user agent at the time of acceptance.
7.3 No Guarantees of Accuracy. AMI responses are generated by artificial intelligence and are provided on an "as is" basis without any warranty of accuracy, completeness, reliability, or fitness for any particular purpose. AMI may produce responses that are incorrect, incomplete, misleading, or inconsistent. You acknowledge and agree that:
- AMI is a tool intended to assist, not replace, professional judgment, expertise, and decision-making.
- All AMI outputs, including diagnostic suggestions, cost estimates, service recommendations, and operational advice, must be independently verified by a qualified professional before any action is taken.
- Verithentic shall not be liable for any loss, damage, injury, claim, or expense arising from reliance on AMI outputs.
- AMI does not constitute professional advice of any kind, including legal, financial, medical, engineering, or automotive diagnostic advice.
7.4 Data Processing by AMI. When you interact with AMI, contextual data from your Company Workspace (including customer names, vehicle information, work order details, service data, and financial figures) may be transmitted to third-party AI service providers for processing. You acknowledge and consent to this data transmission as a necessary condition of using AMI.
7.5 AMI Usage Metering. Use of AMI may be metered and billed as part of your Metered Usage.
7.6 Prohibited AMI Uses. You shall not use AMI to: (a) generate harmful, abusive, discriminatory, or illegal content; (b) attempt to extract, reverse-engineer, or circumvent the underlying AI model; (c) input sensitive personal data or protected health information for which the Service is not designed; (d) rely on AMI outputs as a substitute for required professional inspections, certifications, or regulatory compliance.
8. User Obligations and Acceptable Use
8.1 General Obligations. You agree to use the Service solely for its intended purpose of automotive shop management and related business operations. You shall comply with all applicable laws and regulations.
8.2 Prohibited Conduct. You shall not, directly or indirectly:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Violate, infringe, or misappropriate any third party's intellectual property rights, privacy rights, or other legal rights.
- Upload, transmit, or store any content containing malware, viruses, or other malicious code.
- Attempt to gain unauthorized access to any portion of the Service, other User accounts, or connected networks.
- Interfere with, disrupt, or create an undue burden on the Service or its infrastructure.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Sublicense, resell, rent, lease, transfer, or otherwise commercially exploit the Service to any third party.
- Circumvent, disable, or interfere with security-related features of the Service.
- Create false or misleading accounts, provide inaccurate information, or impersonate any person or entity.
8.3 Customer Data Responsibility. You are solely responsible for the accuracy, quality, integrity, legality, and reliability of all Customer Data. You represent and warrant that you have obtained all necessary rights, consents, and permissions to input, store, and process Customer Data within the Service.
9. Account Security and Access Control
9.1 Credential Security. You are responsible for maintaining the confidentiality and security of your Account credentials, including your password, two-factor authentication (2FA) secrets, and backup codes.
9.2 Two-Factor Authentication (2FA). The Service supports two-factor authentication through Time-based One-Time Passwords (TOTP) and email-based verification. You are strongly encouraged to enable 2FA.
9.3 Role-Based Access Control (RBAC). The Platform implements a role-based access control system with predefined roles: Owner, Admin, Manager, Technician, Advisor, and Viewer. Account administrators are responsible for assigning appropriate roles and permissions to Authorized Users.
9.4 Audit Logging. The Platform maintains audit logs that record significant actions performed by Authorized Users, including the actor, action type, target, IP address, and timestamp.
10. Data Ownership and Responsibilities
10.1 Customer Data Ownership. As between you and Verithentic, you retain all right, title, and interest in and to your Customer Data. Verithentic does not claim any ownership rights over Customer Data.
10.2 License to Customer Data. By using the Service, you grant Verithentic a worldwide, non-exclusive, royalty-free license to use, process, store, reproduce, and display your Customer Data solely to the extent necessary to provide, maintain, and improve the Service, and to comply with applicable law.
10.3 Data Backup. While Verithentic employs commercially reasonable measures to protect Customer Data, you are solely responsible for maintaining your own independent backups. Verithentic shall not be liable for any loss or corruption of Customer Data.
10.4 Aggregated Data. Verithentic may create aggregated and anonymized datasets derived from Customer Data and usage patterns. Such data, which does not identify any individual, may be used for any lawful purpose.
11. Intellectual Property Rights
11.1 Verithentic Ownership. The Service, including its software, code, algorithms, user interface designs, documentation, trademarks, and logos, is and shall remain the exclusive property of Verithentic or its licensors.
11.2 Limited License. Subject to your compliance with these Terms and payment of applicable fees, Verithentic grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during the term of your subscription solely for your internal business operations.
11.3 Feedback. If you provide Verithentic with any suggestions, ideas, or feedback regarding the Service, you hereby grant Verithentic a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, distribute, and exploit such feedback for any purpose.
12. Third-Party Integrations and Services
The Service integrates with various Third-Party Services including Stripe (payment processing), third-party AI providers (AMI assistant), OAuth providers (Google, GitHub for authentication), SMTP email services, vehicle data services (VIN decoding), and analytics infrastructure. Your use of Third-Party Services is subject to the respective terms and privacy policies of each provider.
Verithentic does not warrant, endorse, guarantee, or assume responsibility for any Third-Party Service, and shall not be liable for any act, omission, failure, interruption, or error of any third-party provider.
13. Service Availability and Performance
The Service is provided on an "as available" basis. Verithentic does not guarantee any specific level of uptime, availability, response time, or performance. The Service may be subject to interruptions, delays, and errors due to maintenance, updates, technical issues, third-party dependencies, or factors beyond Verithentic's reasonable control. Verithentic shall not be liable for any damages arising from Service interruptions, downtime, or performance degradation.
14. Limitation of Liability
14.1 Exclusion of Certain Damages. To the maximum extent permitted by applicable law, Verithentic and its officers, directors, members, managers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages; loss of profits, revenue, business, savings, goodwill, or data; cost of procurement of substitute goods or services; damages arising from AMI outputs; or damages arising from reliance on Third-Party Services — whether based on warranty, contract, tort, strict liability, or any other legal theory.
14.2 Aggregate Liability Cap. The total aggregate liability of Verithentic for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total fees paid by you during the twelve (12) months preceding the event giving rise to the claim; or (b) one hundred U.S. dollars ($100.00 USD).
15. Indemnification
You agree to indemnify, defend, and hold harmless Verithentic and its officers, directors, employees, and agents from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your Customer Data; (d) your failure to obtain required consents; (e) actions taken by Authorized Users under your Account; (f) your use of AMI outputs; (g) disputes between you and your customers, employees, or business partners; (h) your violation of third-party terms.
16. Warranty Disclaimer
The Service, including all content, features, functionality, AMI outputs, and Third-Party integrations, is provided "as is" and "as available," without warranties of any kind, either express or implied. Verithentic expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement; warranties that the Service will be uninterrupted, error-free, or secure; warranties regarding the accuracy of any AMI output, VIN decode result, or financial figure generated by the Service. The Service does not provide professional advice of any kind and is not a substitute for professional automotive, legal, financial, tax, or other professional advice.
17. Termination
17.1 Termination by You. You may terminate your subscription at any time through the billing management interface or by contacting legal@verithentic.com. Termination takes effect at the end of the current billing period.
17.2 Termination by Verithentic. Verithentic may terminate or suspend your Account at any time for any reason, including violation of these Terms, non-payment, extended inactivity, harmful conduct, or discontinuation of the Service.
17.3 Effects of Termination. Following termination, Verithentic will retain your Customer Data for up to ninety (90) days for export. After this retention period, data may be permanently deleted. Termination does not entitle you to any refund of prepaid fees.
18. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Verithentic LLC is organized. Before initiating formal proceedings, you agree to contact legal@verithentic.com and attempt to resolve any dispute informally within thirty (30) days. If informal resolution fails, disputes shall be resolved through binding arbitration held in Dubai, UAE.
To the fullest extent permitted by applicable law, all disputes shall be resolved on an individual basis. Neither you nor Verithentic shall participate in any class action, class arbitration, or representative action.
19. Modifications to These Terms
Verithentic reserves the right to modify these Terms at any time. For material changes, we will provide notice through the Platform or email. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms.
20. Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information using at least a reasonable degree of care, not disclose confidential information to third parties except as permitted, and use confidential information solely for exercising rights under these Terms.
21. General Provisions
Force Majeure. Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, acts of war, pandemics, government actions, cyberattacks, or third-party service failures.
Severability. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary or severed without affecting remaining provisions.
Waiver. Failure to enforce any right shall not constitute a waiver of such right.
Entire Agreement. These Terms, together with the Privacy Policy and any documents incorporated by reference, constitute the entire agreement between you and Verithentic.
Assignment.You may not assign these Terms without Verithentic's prior written consent. Verithentic may assign these Terms without restriction.
